TFC PRO MEMBERSHIP SERVICE AGREEMENT

1. Agreement to Terms

By signing up for The Foot Collective Pty Ltd (ABN 16 629 674 004) ("TFC") Pro Membership, you (the "Member") confirm that:

  • you are a health or movement professional with the appropriate scope to apply TFC's educational content in your practice;

  • you are a qualified health or movement professional, or are currently studying toward a health or movement qualification; and

  • you will notify TFC if your professional status changes materially after sign-up.

TFC relies on these confirmations as the basis for providing you with access to Pro Membership content. Providing inaccurate information is a material breach of this agreement.

This agreement constitutes a legally binding contract between you and TFC, governing your membership and access to the TFC Pro Directory and related services. Where full professional details are required (for example, for directory listing), these are collected separately at the time of directory application.

Guide and Pro Membership are separate TFC roles. If you also hold TFC Guide Membership, that membership is governed by a separate agreement. Rights and obligations under this agreement do not transfer to or from the Guide Membership. If you hold both memberships, the obligations under each apply independently.


2. Pro Directory

The TFC Pro Directory is available to certified Pro Members only. Certification is completed after joining, through TFC's training and assessment process. Listing in the directory is optional and requires a separate application once you are certified.

If you choose to apply for a Pro Directory listing, you acknowledge that the professional details you provide will be publicly accessible. It is your responsibility to ensure the accuracy and appropriateness of all information provided.

You may update your profile or withdraw your listing at any time by contacting info@thefootcollective.com. TFC will remove your listing within 5 business days of receiving a withdrawal request. Your right to request removal of your personal data from the directory is set out in TFC's Privacy Policy at https://thefootcollective.com/policies/privacy-policy.


3. Educational Nature of Content

You understand and agree that the information, tools, resources, and training provided as part of the TFC Pro Membership are strictly educational and are not to be construed as medical advice. TFC's Pro content is designed to support your professional development and enhance your knowledge of TFC's approach to natural foot health. It is not a substitute for professional medical judgment, diagnosis, or treatment, and does not replace or supplement your registration obligations under any applicable health practitioner regulatory framework.

By signing up for the TFC Pro Membership, you also accept TFC's Content Disclaimer at https://thefootcollective.com/pages/content-disclaimer, which governs your access to and use of all TFC content including health and safety disclosures, contraindication guidance, assumption of risk, and intellectual property terms.

Recording notice. Live sessions and classes available through the Pro Membership may be recorded by TFC and made available to members for replay in the Kajabi library. By participating in a live session, you consent to TFC recording that session and making it available to other members. TFC does not use live session recordings for purposes other than member replay access and internal quality review, in accordance with TFC's Privacy Policy at https://thefootcollective.com/policies/privacy-policy.

To the extent of any inconsistency between this agreement and the Content Disclaimer, this agreement prevails in respect of Pro members' professional development and application rights.


4. Scope of Practice

You agree to act within your professional scope of practice at all times when applying or teaching knowledge or tools from TFC's Pro Membership. TFC is not responsible for any actions you take that exceed your professional qualifications or violate regulations governing your profession.

Your TFC Pro certification is an educational credential. It does not expand, alter, or certify your scope of practice under any professional regulatory framework (including AHPRA registration, General Medical Council registration, or equivalent).

TFC Pro Membership content does not, by default, constitute accredited continuing professional development (CPD) points under AHPRA, GMC, or any equivalent regulatory framework, unless TFC has separately confirmed accreditation for a specific program.


5. Liability

To the fullest extent permitted by applicable law, you agree to release, waive, and hold harmless The Foot Collective Pty Ltd (ABN 16 629 674 004), its employees, officers, directors, and affiliates from any and all claims, demands, or causes of action arising out of or related to your use of TFC Pro Membership resources. This includes claims related to the misuse of educational content or tools.

Nothing in this clause limits any rights you have that cannot be excluded under the Australian Consumer Law, the UK Consumer Rights Act 2015, or equivalent mandatory consumer protection legislation in your jurisdiction.

Subject to the above and to any rights that cannot be excluded under applicable law, TFC's total liability to you for any claim arising under or in connection with this agreement (whether in contract, tort, statute, or otherwise) is limited to the total membership fees paid by you to TFC in the 12 months preceding the claim. TFC is not liable for any indirect, consequential, or incidental loss, including loss of professional opportunity, professional regulatory outcomes, or reputational harm, arising from your use of TFC Pro Membership resources.


6. Intellectual Property

All content, tools, resources, and materials provided through TFC's Pro Membership (including content on the TFC App and Kajabi platform) are the intellectual property of The Foot Collective Pty Ltd (ABN 16 629 674 004).

You agree not to:

  • copy, distribute, reproduce, sell, or share TFC Pro materials outside the membership context;

  • reproduce, adapt, or directly incorporate TFC Pro materials (including content, frameworks, teaching sequences, assessments, or branded resources) in any commercial course, product, or program without TFC's prior written consent, whether during your membership or at any time after its termination;

  • sublicence or transfer access to TFC Pro materials to any third party.

Nothing in this clause restricts you from applying general knowledge and skills developed through professional development. This clause applies to the reproduction or direct use of TFC's specific intellectual property, not to the independent application of professional knowledge.


7. Privacy and Data Use

The Foot Collective Pty Ltd (ABN 16 629 674 004) will use your personal information in accordance with its Privacy Policy at https://thefootcollective.com/policies/privacy-policy.

By signing up for the TFC Pro Membership, you consent to the use of your professional information for:

  • communications directly related to the administration of your membership, including membership updates, billing, and changes to this agreement;

  • communication about TFC events, professional development opportunities, and program changes (where you have provided separate marketing consent at sign-up); and

  • administration and verification of your membership eligibility, including the profession or professional qualification you declared at the point of purchase. TFC retains this declaration as part of your membership record for the duration of your membership and for a reasonable period after termination, in accordance with TFC's Privacy Policy.

If you choose to apply for a Pro Directory listing, your consent to the public display of your professional information is captured separately at the time of that application. You may withdraw your directory listing at any time by contacting info@thefootcollective.com.


8. Membership Conduct

As a member of the TFC Pro community, you agree to:

  • maintain professionalism in interactions with other members and clients;

  • avoid any actions that could harm the reputation or integrity of TFC;

  • use TFC resources responsibly, ethically, and within the educational scope they are intended for;

  • not misrepresent the nature of TFC's certification (educational) as regulatory registration or clinical credentialling;

  • not represent TFC services to clients as clinical services;

  • comply with your professional registration body's advertising obligations (including AHPRA in Australia, HCPC or equivalent in the UK, and equivalent bodies in other jurisdictions) when posting publicly about TFC products, programs, or events in your capacity as a TFC Pro member. Your TFC Pro membership constitutes a commercial relationship for the purposes of advertising disclosure obligations. Where required by applicable advertising standards (including the AANA Code of Ethics, ASA/CAP Code, or FTC Endorsement Guides), you must clearly and conspicuously disclose your Pro membership in any public content that references TFC products, programs, or events. Accepted disclosure labels include: #adPaid PartnershipTFC Pro. The disclosure must appear at the start of the content and must be readily visible without user action.

  • when promoting TFC products, programs, or events publicly, not make any claim that any TFC product or program treats, cures, manages, prevents, diagnoses, or reduces the symptoms of any health condition - including plantar fasciitis, flat feet, bunions, Achilles tendinopathy, or any other named condition; not publish before-and-after content or outcome statistics that imply therapeutic benefit; and not use clinical language including "treatment", "therapeutic", "rehabilitation", "prescription", or "clinically proven" to describe TFC products, programs, or their outcomes. These prohibitions apply regardless of professional qualification. Breach is a ground for immediate termination under Clause 9.1.

In addition, you must not:

  • publicly attribute to TFC views, positions, or policies that TFC does not hold, including by making statements of the form "TFC says/believes/recommends [X]" where that does not reflect TFC's stated position; or

  • engage in hate speech, vilification, harassment, threats, or abuse toward any person, including TFC customers, members, staff, or community participants, whether in TFC-operated spaces or otherwise.

Brand use restrictions

When you create, market, or sell personal or commercial offerings - including events, workshops, classes, sessions, online programs, courses, products, or physical goods - you must not:

(a) use TFC's name, logos, trade marks, brand colours, typography, or design elements to promote, describe, or associate your offering with TFC;

(b) imply TFC's endorsement, sponsorship, co-authorship, or involvement in any personal or commercial offering;

(c) describe or present any personal or commercial offering as a "TFC program", "TFC method", "TFC-approved", or any variation that could lead a reasonable person to infer that TFC has reviewed, sanctioned, or is formally associated with that offering; or

(d) include TFC products in a personal or commercial program, course, kit, or offering in a manner that implies TFC has endorsed, co-created, or approved that program, or implies a commercial relationship between TFC and that program beyond the fact that TFC products are used within it.

What you may do: You may state in your biography, social media profile, or communications that you are a TFC Pro Member. You may include TFC products in your professional practice or commercial programs as a customer. You may truthfully state that you use TFC products in your professional practice. You may not present your TFC membership or Pro certification as TFC's endorsement of your personal programs, products, or methods.

Breach of this clause constitutes a violation of this agreement and may result in suspension or termination of your Pro Membership under Clause 9.


9. Membership Termination

9.1 Immediate termination

TFC may terminate your Pro Membership immediately, without notice and without refund of any prepaid fees, if you:

  • misrepresent TFC's certification scope to clients or the public;

  • make false or misleading statements in your TFC Pro Directory listing;

  • engage in seriously harmful or abusive conduct within TFC's digital platforms (including the TFC App and community forums) that creates risk to other members, clients, or TFC's regulatory standing; or

  • take actions that create an imminent risk to a third party's safety; or

  • make prohibited health or clinical claims about TFC products or programs in contravention of TFC's Marketing Claims Policy; or

  • publicly attribute to TFC views, positions, or policies that TFC does not hold, where doing so harms TFC's reputation or misleads its community; or

  • engage in hate speech, vilification, harassment, or threats toward any person, including TFC customers, members, staff, or community participants; or

  • engage in criminal conduct that creates a serious risk to the safety of others or causes serious reputational harm to TFC.

9.2 Termination with notice

For all other breaches of this agreement, including conduct detrimental to TFC's mission, community, or reputation; failure to comply with Clause 8; or failure to notify TFC of a registration lapse under Clause 9.3, TFC will provide at least 7 days' written notice before termination takes effect.

During that 7-day period, you may contact info@thefootcollective.com to address the breach. If resolved to TFC's reasonable satisfaction, TFC may withdraw the notice.

If termination takes effect under this clause, TFC will refund a pro-rata amount of any prepaid annual membership fees calculated from the termination date to the end of the paid annual period.

9.3 Professional registration

You must notify TFC immediately if your professional registration lapses, is suspended, or is cancelled. You must also notify TFC if the profession or professional qualification you declared at sign-up changes materially - for example, if you are no longer practising or studying in the field you declared. Failure to notify TFC of either is a material breach of this agreement. On becoming aware of a registration lapse or a material change to declared professional status, TFC may terminate your Pro Membership under Clause 9.2.

9.4 Effect of termination

(a) Administrative or eligibility termination (Clauses 9.2 or 9.3): Upon termination:

Termination under this category does not automatically revoke your TFC Pro certification status, which is managed through TFC's separate certification processes.

(b) Misconduct termination (Clause 9.1): In addition to the effects in (a), TFC may revoke any TFC-granted titles and certifications associated with your membership. TFC will notify you in writing if revocation applies. On receipt of a revocation notice, you must immediately stop identifying yourself as a TFC Pro member, remove TFC badges, labels, and certification claims from your profiles, materials, and communications, and not imply TFC's endorsement or affiliation in any context.

(c) Reinstatement following any form of termination is at TFC's sole discretion.

9.5 Corrective action

Before proceeding to termination for a non-serious breach, TFC may require you to take corrective action within a specified timeframe. TFC will specify a timeframe of not less than 7 days, having regard to the nature of the breach. This may include removing or editing content, retracting a statement, updating a directory listing, or ceasing particular conduct. Failure to comply with a corrective action notice within the specified timeframe is a material breach of this agreement.


10. Amendments

TFC reserves the right to amend this agreement at any time. Where changes are material, TFC will notify Members by email or via the membership platform at least 30 days before changes take effect. Continued participation in the Pro Membership after changes take effect constitutes acceptance of the amended terms.


11. Governing Law

This agreement is governed by and construed in accordance with the laws of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland, Australia.

Mandatory consumer protections applicable in your jurisdiction apply to the extent they cannot be displaced by the choice of Queensland law.


12. Membership Fees and Refunds

Membership fees and any applicable refund entitlements are governed by TFC's Refund Policy at https://thefootcollective.com/policies/refund-policy, which forms part of this agreement. Nothing in that policy limits any mandatory refund rights you have under applicable law, including the Australian Consumer Law or the UK Consumer Rights Act 2015.

UK and EU members have a statutory right to cancel this agreement within 14 days of sign-up. Contact info@thefootcollective.com to exercise this right. See the Refund Policy §4.1 for details.


13. Dispute Resolution

Before commencing any legal proceedings, the parties agree to attempt in good faith to resolve any dispute within 30 days of one party notifying the other in writing. If unresolved, disputes may be referred to the non-exclusive jurisdiction of the courts of Queensland, Australia or, by agreement, to binding arbitration under the Australian Centre for International Commercial Arbitration (ACICA) rules. Nothing in this clause affects any mandatory consumer protection rights you have in your country of residence.


14. Acknowledgement and Agreement

By signing up for the TFC Pro Membership, you acknowledge that you have read, understood, and agree to the terms of this Service Agreement.
